Terms of Service

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

2. Accounts and Security

You are responsible for:

• maintaining the confidentiality of your login credentials,
• all activity under your account,
• ensuring your account information is accurate and up to date.

3. Subscriptions, Trials, and Billing

3.1 Plans and billing

The Service may be offered via paid subscriptions. Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually), unless stated otherwise at checkout.

3.2 Free trial

We may offer a free trial for eligible plans. Trial terms (duration, eligibility, and conversion rules) will be shown at signup or checkout. Trial availability is not guaranteed and may change.

3.3 Automatic renewal

Unless you cancel before the renewal date, your subscription will automatically renew, and your payment method will be charged.

3.4 Cancellations

You can cancel at any time through your account settings (if available) or by contacting support. Cancellation stops future renewals. Unless required by law or stated in our Refund Policy, cancellation does not entitle you to a refund for the current billing period.

3.5 Taxes

You are responsible for any taxes applicable to your purchase, except where we are required to collect taxes.

3.6 Failed payments

If payment cannot be processed, we may suspend or terminate your access until payment is received. You remain responsible for charges incurred.

4. Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

5. Acceptable Use

You agree not to misuse the Service. Your use is subject to our Acceptable Use Policy, incorporated by reference.

6. AI and Recommendation Disclaimers (No Guaranteed Results)

The Service may provide analytics, audits, suggestions, automations, and AI-assisted content or recommendations.

No guarantees. We do not guarantee any particular outcome, including improvements in rankings, traffic, revenue, conversions, AI citations/mentions, AI visibility/usability, or performance. Outcomes depend on many factors outside our control (including search engines, AI systems, competitors, algorithms, and your site/content/implementation).

Verification required. AI-generated or automated outputs may be inaccurate, incomplete, or outdated. You are responsible for reviewing, editing, and validating any output before publishing or acting on it.

Not professional advice. The Service is provided for informational purposes and is not legal, financial, medical, or other professional advice.

7. Your Content and Permissions

7.1 Your content

“Your Content” means content and data you submit to the Service, including websites/projects you add, drafts, prompts, text, and other materials.

You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content only as necessary to provide, maintain, and improve the Service and to comply with law.

7.2 Integrations

If you connect third-party services (e.g., analytics tools, search platforms, content systems), you authorize us to access and process data from those services as needed to provide the integration. You are responsible for complying with the third party’s terms.

8. Intellectual Property

The Service, including its software, design, text, and logos (excluding Your Content), is owned by AgenticSEO and protected by intellectual property laws. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Service except as permitted by law.

9. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without compensation or attribution.

10. Suspension and Termination

We may suspend or terminate your account if we reasonably believe you violated these Terms, the Acceptable Use Policy, or applicable law, or if your use poses risk to the Service or others.

You may terminate by canceling your subscription and discontinuing use.

11. Data Export and Deletion

We may offer ways to export certain data. Deletion and retention practices are described in our Privacy Policy. We may retain information as required for legal, tax, fraud prevention, dispute resolution, and operational backup purposes.

12. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, AgenticSEO disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the maximum extent permitted by law:

AgenticSEO is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

AgenticSEO's total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim (or $100, whichever is greater).

Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless AgenticSEO from claims arising out of (a) Your Content, (b) your use of the Service, (c) your violation of these Terms or applicable law, or (d) your infringement of third-party rights.

15. Dispute Resolution: Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

15.1 Informal resolution first

Before filing a claim, you agree to contact us at hello@GetAgenticSEO.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding arbitration

If informal resolution fails, you and AgenticSEO agree to resolve any dispute arising out of these Terms or the Service through binding arbitration, except as listed in “Exceptions” below.

Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules. You and AgenticSEO agree the arbitration may be conducted by video/phone or in a location in Pennsylvania, unless the parties agree otherwise.

15.3 Exceptions

Either party may bring:

• an individual claim in small claims court (if eligible), or
• a claim for injunctive or equitable relief to stop unauthorized use, security abuse, or infringement of intellectual property.

15.4 Class action waiver

You and AgenticSEO agree that any dispute must be brought only on an individual basis. This means you may not bring (or participate in) a class action, collective action, or representative action against AgenticSEO.

15.5 Arbitration opt-out (30 days)

You may opt out of arbitration by emailing hello@GetAgenticSEO.com within 30 days of first accepting these Terms. Your email must include: your name, account email, organization name (if applicable), and a clear statement that you want to opt out of arbitration.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, except to the extent federal law applies.

If arbitration is found unenforceable for a claim, that claim will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to jurisdiction there.

17. Changes

We may update these Terms from time to time. If changes are material, we will provide notice (for example, by posting on the Service and/or emailing you) at least 30 days before they take effect. Continued use after the effective date means you accept the updated Terms.
